If you are interested in marketing our Uniwell products in your country, we will be more than delighted to welcome you as our new distributor.
But, this doesn't mean we expect you to become an expert, quota-bound distributor instantly.
We understand well that you will need time to study our Uniwell machines and its market of your territory, as it has been the case with many of our distributors who are making major contributions to us now.
What we would like to suggest is that both you and our company Uniwell enter into Trial Agreement for a period of one(1) year.
During this time, you can dig into more details how the business runs, and we can start building cooperative business relationship between us.
We believe this preliminary process soon will lead us to make decisions whether we should enter a formal Distribution Agreement.
By this agreement, you will continue marketing Uniwell products with mutually agreed sales quota for the next two years.
The excerpt of basic terms & conditions of such Trial Agreement would be as follows ;
1. Price:
Net FOB, Japanese Yen for delivery at Japanese port(s) and/or airport(s). No rebate is included and no other currency is acceptable.
2. Payment:
By either Telegraphic Transfer(T/T) in cash of full ordered amount into our account, or an irrevocable Letter of Credit, payable at sight, to be opened in our favor and confirmed by first class bank accepted by us.
Payment should be settled 30 days prior to agreed schedule of shipment of the ordered goods except for spare parts.
3. Shipment:
In about three(3) months after our receipt of both your firm order and payment as mentioned above.
4. Warranty:
We warrant that our products shall be free from any manufacturing or design defects. We expect you to carry out and complete acceptance inspection within two (2) weeks after you receive ordered goods.
In a case of breach of this warranty, you need to immediately notify us without delay. Then, we will repair or replace any defective products after we confirm them as defective.
5. Termination:
At any time during the period of the Trial Agreement, either party may terminate it by a written notice to the other party.
Three(3) months before one(1) year period of the Trial Agreement expires, both parties may decide whether they will enter Distribution Agreement or not.
